Terms Of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Simran Dhillon, trading as Nextly AI, a sole proprietorship based in Kuala Lumpur, Malaysia (“Nextly AI”, “we”, “us” or “our”). They apply when you download, install, sign in to or use the Nextly AI app or visit our website at nextly-ai.app.
Please read them carefully, especially Section 8 (Responsible Use, Recording And Consent), Section 11 (AI Output), Section 19 (Disclaimers) and Section 20 (Limitation Of Liability). They explain what you are responsible for and limit our liability. Our Privacy Policy and Refund Policy form part of these Terms.
1. Key Terms
In short: These definitions keep the meaning of capitalised words consistent across all three legal pages.
In these Terms, and in our Privacy Policy and Refund Policy:
- “App” means the Nextly AI desktop application for macOS, including its local backend, updates and Nextly Camera.
- “Nextly Camera” means the optional virtual camera included with the App.
- “Service” means the App, our website, and the sign-in, licensing, update and support services we provide with them.
- “Account” means your Nextly AI account used to sign in and activate the App.
- “Third-Party Providers” means the AI, speech-to-text and other services, not operated by us, that you choose to connect to the App.
- “Your Content” means the audio, transcripts, prompts, notes, files, screenshots and other material you capture or add to the App.
- “Output” means suggestions, answers, summaries, transcripts and other results generated for you through the App.
- “Paid Plan” means any paid subscription, licence or feature we may offer in the future.
2. Accepting These Terms
By using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organisation, you confirm that you are authorised to accept these Terms for it, and “you” includes that organisation.
3. What Nextly Is
The App is a desktop assistant for macOS. During a call or meeting it can capture audio on your Mac, convert speech to text using a speech provider you select, and show short suggested replies and answers generated by an AI provider you select. Features include:
- live assistance modes, including Interview mode, which can draw on your résumé and the role you are applying for;
- your own prompts, notes and files, which the App uses as context;
- Nextly Camera, with Eye Contact and Beauty effects processed on your Mac;
- Stealth features that aim to keep the App’s panel out of supported screen-sharing and screen-capture tools.
The App runs only on macOS; a Mac with Apple silicon is recommended. The App does not join your meeting as a participant. Features, supported Third-Party Providers and system requirements may change between versions.
4. Eligibility
In short: Adults only (18+).
You must be at least 18 years old to use the Service. You may not use the Service if the laws that apply to you prohibit it, including sanctions and export-control laws (see Section 24).
5. Your Account
An Account is required to activate and use the App. You can sign in with email or with a supported sign-in provider such as Google, GitHub, Apple or Microsoft. When you do:
- give us accurate information, including your real first and last name, and keep it up to date;
- keep your sign-in details secure and do not share your Account; you are responsible for activity under it;
- respect any limit on the number of Macs your licence covers, and do not try to bypass sign-in, licence checks or device limits;
- tell us promptly at [email protected] if you think your Account has been used without permission.
You can ask us to delete your Account at any time by emailing [email protected] from your Account email. See Deleting Your Account And Data in our Privacy Policy.
6. Free Access And Future Paid Plans
In short: Free today. Any future pricing will be announced first and only applies if you choose to buy.
The Service is currently free. We do not charge you for the App, its features or Nextly Camera.
We may introduce Paid Plans in the future. If we do, we will announce them in advance, show the price, billing period and renewal terms before you buy, and never charge you for anything you did not choose to purchase. Paid Plans will be subject to these Terms, any terms shown at checkout and our Refund Policy.
Third-Party Providers you connect with your own API keys may charge you directly for usage. Those charges are between you and the provider; we do not control or refund them.
7. Licence To Use The App
Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable licence to install and use the App on Macs you own or control, for your own use. You may not, and may not help anyone else to:
- copy, sell, rent, sublicense or redistribute the App, or offer it as a service to others;
- reverse engineer, decompile or disassemble the App, except where the law allows this despite this restriction;
- bypass or tamper with sign-in, licence checks, device limits or security features;
- remove or change copyright, trademark or other notices.
The App can check for and install updates, and some updates may be required to keep using the Service. Open-source components included in the App are licensed under their own terms, which apply to those components.
8. Responsible Use, Recording And Consent
In short: Only use Nextly where recording and AI assistance are allowed, get any consent the law requires, and never use it to cheat or deceive.
The App can capture and transcribe what is said in a conversation. Laws on recording, transcribing and monitoring conversations vary widely, and some places require the consent of everyone in the conversation (all-party consent). You are solely responsible for:
- knowing and following the recording, interception, privacy and data-protection laws that apply to you and to everyone in the conversation;
- giving any notice and obtaining any consent those laws require before you capture or transcribe a conversation;
- following the rules of any employer, interviewer, school, exam or certification body, or professional body that applies to you;
- following the terms of the meeting, video-conferencing or assessment platforms you use.
Many interviews, exams and assessments do not allow AI assistance. The App is designed to help you prepare, stay focused and communicate clearly. It is not intended to help anyone cheat. You must not use it to deceive people where that is prohibited, to misrepresent your skills or identity where honesty is required, or to break the rules of an assessment. Stealth features are provided for privacy and focus, not to get around rules you have agreed to follow. You accept the consequences of using the App where it is not permitted.
9. Acceptable Use
You agree not to use the Service to:
- break any law or infringe anyone’s rights, including privacy, publicity and intellectual-property rights;
- record, transcribe or monitor people secretly or without a legally required consent;
- harass, threaten, defraud, impersonate or harm others;
- create or share unlawful, abusive or sexually exploitative content, including any content involving minors;
- break the usage policies of the Third-Party Providers you connect;
- interfere with, overload or probe the security of the Service, except through responsible disclosure to us;
- copy the Service or scrape our systems to build a competing product.
10. Your Content
In short: Your content stays yours and stays mostly on your Mac. Back it up if it matters.
As between you and us, you keep all rights you have in Your Content and Output. Your Content is processed and stored mainly on your Mac. To provide a feature, the App sends the parts of Your Content needed for that request directly to the Third-Party Provider you selected (see Section 12). We do not receive your meeting content, except anything you choose to include in an issue report, and we do not sell Your Content or use it to train AI models.
You confirm that you have the rights and permissions needed for Your Content, including any confidential or personal information about other people.
Because Your Content lives on your Mac, you are responsible for backing it up. We cannot recover local data that is deleted, lost or corrupted. Our Privacy Policy explains what is stored locally and how to delete it.
11. AI Output
In short: AI can be wrong. You decide what to say.
Output is produced automatically by third-party AI and speech systems. It can be inaccurate, incomplete, out of date, biased or inappropriate, and transcription can mishear what was said.
- Review Output before you rely on it, say it or share it.
- Output is not legal, medical, financial, tax or other professional advice.
- You are responsible for decisions you make and words you use based on Output, including in interviews, negotiations and work meetings.
Similar inputs can produce similar Output for different users, so Output may not be unique to you. Use of Output may also be subject to the terms of the Third-Party Provider that generated it.
12. Third-Party Providers And API Keys
Transcription and answers come from Third-Party Providers you choose in the App, such as xAI (Grok), Deepgram, Groq, OpenAI, Google (Gemini and Google Cloud), Microsoft (Azure Speech), Anthropic (Claude) and others listed in the App, or local tools you run yourself, such as Ollama.
- You usually connect a Third-Party Provider with your own API key or account. Your agreement with that provider, including its terms, privacy policy, pricing and usage rules, applies to your use of it.
- API keys you add are stored on your Mac in the macOS Keychain. Keep them secure.
- We do not control Third-Party Providers and are not responsible for their availability, accuracy, charges, data handling or changes to their services.
We also use service providers to run sign-in, licensing and hosting. They are listed in our Privacy Policy.
13. Nextly Camera And Stealth Features
Nextly Camera appears as a camera you can select in your meeting app. Eye Contact can change how your eyes appear on video and Beauty can soften your appearance. Use them in a way that is honest, appropriate for the setting and consistent with any rules about altered video that apply to you.
Stealth features aim to hide the App’s panel from supported screen-sharing and capture tools. Results depend on the app, macOS version and settings you use and can change without notice. We do not guarantee that the App will be hidden in every situation, so test your setup before an important call.
14. Beta And Experimental Features
Some features may be labelled beta, preview or experimental. They may be incomplete or unstable, may change or be removed at any time, and are provided as-is without any commitment of support or availability.
15. Feedback And Issue Reports
If you send us feedback or ideas, we may use them to improve the Service without any obligation to you. Issue reports sent from the App contain only what you review and choose to include, as described in our Privacy Policy.
16. Intellectual Property
The Service, including the App, website, designs, text, graphics and the Nextly AI name and logos, belongs to us or our licensors and is protected by intellectual-property laws. These Terms give you no rights in it beyond the licence in Section 7. You may not use our name or logos to suggest that we endorse or are affiliated with you without our written permission. Accurate, non-misleading references, such as in a review, are fine.
Mac and macOS are trademarks of Apple Inc. Other product and company names belong to their owners and are used only to identify compatible services.
17. Privacy
Our Privacy Policy explains what information we and the App handle, what stays on your Mac, what goes to the Third-Party Providers you choose, and how to exercise your rights.
18. Suspension And Termination
You can stop using the Service at any time by uninstalling the App, and you can ask us to delete your Account by emailing [email protected].
We may suspend or end your access if you breach these Terms, if we need to for legal or security reasons, if a provider we depend on requires it, or if we stop offering the Service. Where reasonable, we will tell you first. If we discontinue the Service entirely, we will give at least 30 days’ notice by email or in the App, and handle any active Paid Plan as described in our Refund Policy.
When access ends, your licence ends. Data stored on your Mac stays there until you delete it. Sections that by their nature should continue, including those on Your Content, intellectual property, disclaimers, liability, indemnity and disputes, continue to apply.
19. Disclaimers
To the fullest extent the law allows, the Service is provided “as is” and “as available”. We make no warranties, express or implied, including about merchantability, fitness for a particular purpose, accuracy, non-infringement, or that the Service will be uninterrupted, secure, error-free or hidden from screen sharing in every case. We do not promise any particular result, such as passing an interview or closing a deal.
Some laws, including consumer protection laws, do not allow certain warranties to be excluded. Where they apply, these exclusions apply only as far as the law permits, and nothing in these Terms limits rights you have as a consumer that cannot legally be limited.
20. Limitation Of Liability
In short: Our liability is capped at what you paid us in the last 12 months or USD 50, whichever is greater, except where the law says otherwise.
To the fullest extent the law allows:
- we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, opportunity, employment or reputation, arising from or related to the Service or these Terms;
- our total liability for all claims relating to the Service is limited to the greater of the amount you paid us for the Service in the 12 months before the claim arose, or USD 50.
These limits do not apply to liability that cannot be limited by law, such as liability for fraud or for death or personal injury caused by negligence.
21. Indemnity
To the extent the law allows, you agree to cover our reasonable losses and costs, including legal fees, from third-party claims arising from your breach of these Terms, Your Content, or your use of the Service in violation of law or third-party rights, including failing to obtain a required recording consent or breaking the rules of an employer, interviewer, exam body or platform.
22. Governing Law And Disputes
In short: Malaysian law applies and disputes go to the Kuala Lumpur courts, after we first try to sort things out by email.
These Terms are governed by the laws of Malaysia, without regard to conflict-of-law rules. If you have a concern, please email [email protected] first so we can try to resolve it informally; we will do the same. If a dispute is not resolved within 30 days, either of us may bring it before the courts of Kuala Lumpur, Malaysia, which will have exclusive jurisdiction, unless the law where you live gives you the right to bring it elsewhere.
If you are a consumer, you keep any protections given by the mandatory laws of the country where you live.
23. Changes To The Service Or These Terms
We may change the Service and these Terms over time. For material changes to these Terms, we will update the “Last updated” date and give notice on the website, in the App or by email at least 14 days before they take effect, unless a change is required sooner by law or for security. If you keep using the Service after a change takes effect, the updated Terms apply. If you do not agree, stop using the Service and you may ask us to delete your Account.
24. General
- Entire agreement. These Terms, with the Privacy Policy and Refund Policy, are the whole agreement between you and us about the Service.
- Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
- No waiver. If we do not enforce a right straight away, we can still enforce it later.
- Assignment. You may not transfer these Terms without our consent. We may transfer them to a company we form to operate Nextly AI, or as part of a sale of the business, and will tell you if we do.
- Events beyond our control. We are not responsible for delays or failures caused by events outside our reasonable control, including outages of providers we depend on.
- Export and sanctions. You may not use the Service where doing so would breach export-control or sanctions laws.
- Notices. We may send notices to your Account email or show them in the App. You can send notices to us by email at the address below.
- Language. These Terms are written in English. Any translation is for convenience, and the English version controls.
